Financial Advisor – First Response Products
Served as Financial Advisor in the Chapter11 bankruptcy proceeding for a publicly traded manufacturer of powered air respirators, gas masks and filters, specialized shelters, mobile mortuary systems and other first response products. We restored creditability with the Company’s secured lender and critical vendors and developed a Plan of Reorganization that resulted in the Company being taken private by an ownership group comprised of senior management and the Company’s secured lender. The Company emerged from bankruptcy with a stronger capital structure and continues to provide mission critical products for our armed forces, homeland security personnel, law enforcement agencies and other first responders.
Financial Advisor – Manufactured Wood Products Company
Facing a cash crunch and pressure from its secured lender, a large manufacturing company sought our assistance as a Financial Consultant to help the Company reduce its debt levels and strengthen its balance sheet. Initial analysis revealed significant amounts of equity in four manufacturing facilities. Building on a series of sale/leaseback transactions, the Company tapped into this new source of “equity” and used it to pay down its debt and strengthen its financial position.
Crisis Management – Commercial Real Estate Owner
Plagued by a variety of issues common to commercial real estate holders, the owner of a collection of office buildings sought our assistance as Crisis Manager. We assumed operating responsibility for all 32 office buildings and began to build a better platform for future operation and management of this unique portfolio of office properties. We recreated accounting information, collected delinquent rents and operating expenses from tenants, resolved building maintenance issues, addressed building code violations, negotiated forbearance agreements with major lenders, and handled the orderly liquidation of some of the properties—creating the liquidity necessary to allow the Company more time to restructure its operations.
Neutral Administrator Food Products Company
Retained as Neutral Claims Administrator in two national class action cases involving salmonella contaminated food products. In both cases we analyzed the solvency of the defendant; designed the claim protocol; provided notification to potential claimants; analyzed all claims submitted by potential Claimants; assisted in the settlement negotiations and developed settlement structures; distributed settlement documentation package to all approved claimants; collected settlement documentation; processed settlement payments for all approved claimants; and issued a final report to the Court, plaintiff class members and defendants. A Global settlement was reached in both cases avoiding lengthy, complex and costly trials. Also preserved both defendant companies as ongoing entities saving hundreds of U.S. jobs.
Litigation Support – Custom Beverage Developer and Manufacturer
Assisted a U.S. based custom beverage developer and manufacturer in analyzing and documenting its substantial claim for damages in a national class action product liability case. Our client’s damage claim was approved and paid in full.
Business Structuring – Securities Brokerage
Assisted a group of successful securities brokers in structuring a new business relationship with a major U.S. securities brokerage firm.
Transaction Advisory Services – Renewable Energy
Assisted a producer of affordable, reliable, sustainable and environmentally responsible reusable power (using biomass and other waste residues) to purchase certain energy co-generation assets from a bankrupt paper mill.
Financial Advisor – Industrial Equipment Manufacturing Company
Retained by lender consortium to analyze the business plans; short, medium and long term business strategy; and operations of an international manufacturer of high speed mail sorting and labeling equipment. Worked closely with Senior Management to develop a viable business plan and strategy that was presented to the lending consortium and was unanimously approved by this group.
